EULA - End User License Agreement

METROSONUS END USER LICENSE AGREEMENT (Download Version)

Please carefully read this end user license agreement ("EULA") before using the software being
provided to you by Gladstone Records, Inc. ("Gladstone"). YOUR RECEIPT OF AN ACTIVATION/LICENSE
KEY AND/OR USE OF THE SOFTWARE INDICATES YOUR ACCEPTANCE OF THIS EULA. THIS EULA
APPLIES TO ANY COPY OF METROSONUS THAT RESIDES ON ANY PERSONAL COMPUTER. Gladstone
grants you the right to use this copy of the software (hereinafter the "Software") on a single computer.
Your use of the Software is limited to the number of licenses you have purchased.

You must purchase a license for each PC that uses the Software. You agree to use reasonable efforts
to protect the Software from unauthorized use, modification, reproduction, distribution and publication.
The Software is copyrighted, and all rights therein are reserved by Gladstone and its suppliers.

ASSIGNMENT

This EULA may not be assigned without Gladstone's prior written consent.

Gladstone may create updated versions of the Software. At its option, Gladstone may make available
such updates to those customers who are registered users.

UPGRADES

All provisions of this EULA shall also apply to any Software upgrades.

LIMITED WARRANTY

NO OTHER WARRANTIES FOR THE SOFTWARE. THE SOFTWARE IS PROVIDED "AS IS" WITH NO
OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT
WILL GLADSTONE OR ITS SUPPLIERS BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR
CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE OR
RELATED MATERIALS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SPECIFICALLY,
GLADSTONE OR ITS SUPPLIERS ARE NOT RESPONSIBLE FOR ANY COSTS, INCLUDING, BUT NOT
LIMITED TO, THOSE INCURRED AS A RESULT OF LOST PROFITS OR REVENUE, LOSS OF USE OF THE
SOFTWARE, LOSS OF DATA, THE COST OF RECOVERING SUCH SOFTWARE OR DATA, THE COST OF
ANY SUBSTITUTE SOFTWARE, CLAIMS BY THIRD PARTIES OR FOR OTHER SIMILAR COSTS. SOME
STATES MAY NOT ALLOW THE EXCLUSION, DISCLAIMER OR LIMITATION OF IMPLIED WARRANTIES
OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE
LIMITATION, DISCLAIMER OR EXCLUSION MAY NOT APPLY TO YOU. IN ANY AND ALL EVENTS,
IT IS AGREED THAT GLADSTONE AND ITS SUPPLIERS' LIABILITY SHALL NOT EVER EXCEED THE
AMOUNT OF THE EULA. THE TERMS AND PROVISIONS OF THE UNITED NATIONS CONVENTION ON
CONTRACTS FOR INTERNAITONAL SALES OF GOODS ARE HEREBY EXPRESSLY EXLCUDED.
RESTRICTED RIGHTS LEGEND

Any Software purchased for or on behalf of the United States of America, its agencies and/or
instrumentalities ("U.S. Government"), is provided with Restricted Rights. Use, duplication, or
disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph
(c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013
or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48

GENERAL

This EULA cannot be modified by purchase order, or representations of anyone other than an
agreement signed by an officer of Gladstone. This EULA is governed by and interpreted in
accordance with the laws of the State of Texas, excluding its conflict of law principles.

It is understood that upon your receipt of an activation/license key and/or using the Software, you show
your acceptance of this EULA. Any waiver by Gladstone of any term of this EULA will not be considered
